Public offer

Effective October 16, 2026

1. General provisions

1.1. This document is a public offer (Article 437(2) of the Civil Code of the Russian Federation) by Individual Entrepreneur Ivan Vasilyevich Bormotkin, taxpayer number (INN) 673203821665 (the “Provider”), to enter into an agreement on the terms below with any person of full legal capacity aged 18 or over (the “User”).

1.2. Acceptance of the offer (Article 438(3) of the Civil Code) is signing up for an account at https://skyenergyai.com. Paying for a paid plan is acceptance of the terms of that plan. Acceptance means full and unconditional agreement with all terms of the offer.

1.3. The offer applies in the version published on the site; changes follow section 13. A period that has already been paid for is governed by the terms in effect at the moment of payment.

1.4. Integral parts of the agreement: the Privacy policy, the Cookie policy and Payment and security. Consents are given by separate actions: to personal data processing — when signing up, to recurring payments — when subscribing.

2. Definitions

  • Service — the SkyEnergy AI web application at https://skyenergyai.com: an AI assistant that answers the User’s questions using artificial intelligence models.
  • Account — the User’s account; sign-in is by e-mail address and password.
  • Plan — a set of terms of access to the Service (Free, Pro, Max): price, daily limit, ability to attach files.
  • Subscription — access to a paid plan for a paid period with automatic renewal.
  • Period — the term a subscription is paid for: one calendar month from the payment date.
  • Limit — the amount of Service use per day under a plan; a day starts at 00:00 Moscow time.
  • Answer — text created by the Service automatically in reply to the User’s question.

3. Subject of the agreement and nature of the Service

3.1. The Provider gives the User access to the Service under the chosen plan, and the User pays for a paid plan if they chose one.

3.2. Answers are created by artificial intelligence models automatically, without human involvement. They may contain errors, incomplete or outdated information and do not express the Provider’s opinion. The Provider does not check answers and does not guarantee their accuracy, completeness or fitness for the User’s purposes.

3.3. The Service does not provide medical, legal, financial, tax, psychological or other professional services and does not make diagnoses: an answer is reference information, not a substitute for a specialist. The User checks important information and makes decisions based on answers on their own.

3.4. To prepare an answer, the content of the request — the question text, previous messages of the chat and attached files — is processed using the OpenRouter, Inc. service and AI model providers, including providers abroad — see the Privacy policy. Do not include data that the answer does not need: full names, document numbers, information about other people.

3.5. The Provider may, at its discretion, choose and change AI models, their providers, the interface and the features of the Service, provided this does not worsen the main property of a paid plan — answers to questions within its limit.

3.6. The Service may automatically decline to answer a request that breaks the law, the model providers’ rules or section 8. Such a refusal is not a defect of the service; it does not use the limit.

3.7. The service is provided remotely over the internet; there is no physical delivery and no tangible media. Access to a paid plan opens in the account as soon as the payment service has confirmed the payment to the Provider. The Service is available from any country where the site opens; the Provider is not liable for unavailability caused by restrictions of local authorities, network providers or tools on the User’s side. Payment methods, payment security and contacts for payment questions are in Payment and security.

4. Plans, limits and prices

4.1. Current plans:

Plans and prices
PlanPrice per monthFiles
FreeFreeNo files
ProRUB 5,000Up to 5 files per message, up to 10 MB each
MaxRUB 10,000Up to 10 files per message, up to 20 MB each

4.2. Prices are in rubles. VAT exempt: patent taxation system (PTS), Clause 11, Article 346.43 of the Tax Code of the Russian Federation. A subscription is for one month; other periods, if introduced, will be shown on the site with their price before payment.

4.3. The limit is measured by the volume of answers: long questions, files and detailed answers use it faster. The number of questions shown for a plan is a guide for typical questions, not a guaranteed amount. The remaining limit is shown in the account (“Usage”); the limit resets at 00:00 Moscow time and does not carry over to the next day. An answer not received because of a failure does not use the limit.

4.4. When a plan’s daily limit is used up, new questions and regenerated answers are unavailable until the limit renews at midnight Moscow time. A Pro user can switch to Max: after confirmed payment the daily limit resets to the Max allowance. When the Max limit is used up, the User must wait until the next day. An answer already started will finish. While the main model of a plan is temporarily unavailable, the Service may answer with a lighter model; this is not improper performance of the service.

4.5. The Provider may change prices. A new price applies only from the next period; the Provider announces it by e-mail at least 10 days before the first charge at the new price. A User who disagrees cancels auto-renewal (section 6).

5. Subscription and recurring payments

5.1. A paid plan is taken out in the account (“Subscription”): the User chooses a plan, gives consent to recurring payments with a separate checkbox (not pre-ticked) and pays for the first period by bank card on the page of the payment service JSC TBank (T-Kassa).

5.2. The subscription renews automatically: on the day the period ends, the plan price for the next period is charged to the linked card.

5.3. If a charge fails, the account moves to the Free plan and the Provider retries after 1 and after 3 days; a successful retry resumes the subscription for a month from the payment date. If the retries fail, the subscription ends. The account, chat history and settings are kept.

5.4. Card details are entered on the payment service page and are not passed to the Provider. The Provider receives only the payment result, the card binding identifier and the card mask (last digits of the number).

5.5. A receipt is sent to the User by e-mail for every payment, every automatic charge and every refund.

5.6. A paid plan can be changed to another paid plan at any time in the account ("Subscription"): the new plan is paid for and runs for a month from the payment date, the previous one stops immediately. When moving to a higher plan, the cost of the unused full days of the previous plan (under clause 7.1) is credited towards the new payment, leaving at least the bank minimum payment to pay. When moving to a lower plan, the new plan is paid in full and the unused days of the previous plan are not carried over. The amount to pay is shown before payment. Switching to the Free plan is done by cancelling auto-renewal (section 6).

6. Cancelling a subscription

6.1. Auto-renewal can be cancelled at any time with one action in the account: “Subscription” → “Cancel auto-renewal”. Cancellation takes effect immediately: there will be no new charges, and the card binding is deleted (Article 16.1 of the Russian Consumer Protection Law).

6.2. After cancellation the paid plan works until the end of the paid period, then the account moves to the Free plan.

6.3. If cancellation in the account is not possible (for example, there is no access to it), write to info@skyenergyai.com from the address registered in the account. A charge made after such a message is received is refunded in full.

7. Refunds

7.1. The User may withdraw from the agreement at any time, paying the Provider the expenses actually incurred (Article 32 of the Russian Consumer Protection Law, Article 782 of the Civil Code). The cost of the unused part of the period is refunded: the period price divided by the number of its days and multiplied by the number of full days remaining after the day the request is received. Days used, including the day of the request, are not refunded.

7.2. An erroneous or duplicate charge, as well as a charge after auto-renewal was cancelled, is refunded in full.

7.3. A refund request is sent to info@skyenergyai.com from the address registered in the account. The money is returned to the card used for payment within 10 days from the request (Article 31 of the Russian Consumer Protection Law); the time to credit the card depends on the bank.

7.4. After a refund for the current period the subscription ends and the account moves to the Free plan.

8. Rules of use, rights and obligations

8.1. The User undertakes to:

  • provide their own working e-mail address;
  • not use the Service to break the law of the Russian Federation, including to create and distribute prohibited information, for fraud, malware, spam or to violate the rights of others;
  • not bypass limits, technical restrictions and safety mechanisms of the Service and AI models, including with requests crafted for such bypassing;
  • not send requests with programs or bots, not extract Service data in bulk, not interfere with its operation and not exploit vulnerabilities (report a vulnerability found to info@skyenergyai.com);
  • not create several accounts to bypass limits or a block, not transfer, sell or give other people access to the account;
  • keep the password secret: actions in the account are deemed to be the User’s own until the User tells the Provider about someone else’s access;
  • send only texts and files they have the right to use, and not share other people’s personal data without legal grounds;
  • not include in questions and files their health details or other special categories of personal data together with data that identify them (full name, document numbers): the Service is not intended to process them.

8.2. The Provider undertakes to give access to the Service under the plan, except during maintenance and circumstances for which the Provider is not liable by law (clause 10.5).

8.3. The Provider may:

  • carry out maintenance and suspend accepting new questions for that time; chats as a rule remain available for reading;
  • set technical restrictions — question length, file size and number, request frequency — to protect the Service;
  • restrict access or block the account if clause 8.1 is violated or there is reasonable suspicion of a violation, including without prior notice;
  • refuse sign-up with an e-mail address whose account was blocked for a violation.

8.4. A blocked account can sign in, read and delete chats and delete the account; new questions are not accepted. While the account is blocked, automatic charges are suspended, and the subscription and the card binding are kept: after unblocking the subscription continues. A paid period is not extended for the time of a block for a violation. If the User committed no violation, the Provider, at the User’s choice, extends the period by the time of the block or refunds the cost of the unused part of the period. A block can be disputed by writing to info@skyenergyai.com.

9. Rights to questions, answers and the Service

9.1. The rights to question texts and attached files remain with the User. The Provider uses them only as needed for the Service to work: to answer, to keep chat history and to protect against abuse.

9.2. The User may use answers freely, including for commercial purposes, within the law; the Provider claims no rights to them. Answers are created automatically, so the Provider does not guarantee they are unique or do not match answers to other users or other people’s works; the User is responsible for how answers are used.

9.3. The Provider does not use questions and answers to train models and, when calling model providers, selects the mode in which data is not used for training.

9.4. The software, design, name and texts of the Service belong to the Provider. Copying them, building other services on them or using them without the Provider’s permission is prohibited.

10. Liability

10.1. The Service is provided as is. To the extent permitted by law, the Provider does not guarantee that the Service will work without interruptions and errors or meet the User’s expectations.

10.2. The Provider is not liable for decisions the User makes based on answers and their consequences; for interruptions caused by circumstances for which it is not liable by law (clause 10.5); for the consequences of sign-in by another person who obtained the password through the User’s fault.

10.3. The User is responsible for the content of their questions and files and for the use of answers, and compensates the Provider for losses caused by a violation of clause 8.1, including under third-party claims.

10.4. The Provider’s liability is limited to the amount paid by the User for the current period. The limitation does not apply where the law does not allow limiting liability to a consumer.

10.5. The parties are released from liability for non-performance or improper performance of obligations caused by force majeure — circumstances that are extraordinary and unavoidable under the given conditions (Article 401(3) of the Civil Code of the Russian Federation). These include, in particular: military action, strikes and attacks by unmanned aerial vehicles (drones), missile and other strikes, terrorist acts and sabotage; martial law, a state of emergency or a counter-terrorist operation regime; fires, floods, earthquakes and other natural disasters; epidemics; accidents and outages of power and communications in data centres and backbone networks; massive attacks on communication networks and servers that cannot be repelled by reasonable measures; decisions and actions of government authorities, including restriction of access to the website, communication networks or providers’ services; sanctions and restrictions by foreign states, foreign providers and payment systems.

10.6. For the duration of such circumstances, performance of obligations is suspended and resumes once they end; where possible, the Provider reports the interruption on the website or by e-mail. The User may withdraw from the contract under section 7.

11. Personal data

Personal data is processed under the Privacy policy and on the basis of the User’s consent.

12. Term and account deletion

12.1. The agreement is in effect indefinitely — until the account is deleted.

12.2. The account can be deleted at any time in the settings, confirmed with the password. Deletion immediately closes access, ends the subscription, cancels auto-renewal and deletes the card binding. A deleted account and its chats cannot be restored. The same e-mail address can be used to sign up again right away — as a new user, without the previous chats and subscription (except in the case in clause 8.3). A refund for the unused part of the period is made on request under section 7.

12.3. Which data is kept after account deletion and for how long — see section 5 of the Privacy policy.

13. Changes to the offer and notices

13.1. The Provider may change the offer by publishing a new dated version on the site and notifying Users by e-mail. The new version takes effect 10 days after publication unless it states a later date. A period already paid for is governed by the new version only if it does not worsen the User’s position.

13.2. A User who disagrees with the new version may, before it takes effect, cancel auto-renewal and delete the account; a refund for the unused part of the period follows section 7. Renewing the subscription and using the Service after the end of the period already paid for mean agreeing to the new version.

13.3. Notices are sent to the account e-mail address or shown in the account and are deemed received on the day they are sent. The User keeps the e-mail address working.

14. Claims and disputes

14.1. Claims are sent to info@skyenergyai.com and are reviewed within 10 days.

14.2. The agreement is governed by the law of the Russian Federation. Disputes not settled by correspondence are heard in court under Russian law; a consumer may file a claim at their place of residence (Article 17 of the Russian Consumer Protection Law).

14.3. This English version is provided for convenience; in case of discrepancy the Russian version prevails.
